India and Malaysia share centuries old ties rooted in shared culture and vibrant people-to-people contact. Historically, Malaysia has been a part of India’s extended neighbourhood and contemporarily a significant element of India’s Act East Policy. The two countries have been partners in mutually beneficial flow of not only goods and services but also ideas and values. With strengthening bilateral economic and commercial relations, Malaysia is in the top 20 largest trading partners for India while India figures among the ten largest trading partners for Malaysia.

With increasing trade connectivity between Malaysia and India, we see ourselves as increasingly being required to render legal services. In recognising the significant investment and business ventures opportunities between India and Malaysia, we have dedicated an India Desk consisting of a team of lawyers with industry know-how and legal experience to provide our clients with sound solutions and to cater to their needs.

Our partners have over the years acted for Malaysian clients in India and conversely for Indian clients in Malaysia on a wide range of transactions.

India Desk Experience

A brief description of some of the transactions that we have been involved in are as follows:

Energy, Infrastructure & Construction

Our partners have advised Malaysian and Indian clients on various power plants and power plant investments in India, namely in Chamlapura (1000MW), Tanir Bavi (180MW), Madhya Pradesh (100MW) and Kerala (300MW). We have also acted for a Malaysian client on their waste heat to energy project for a cement plant which involved interaction with their Indian contractor, Transparent Energy, for the Energy Transfer Agreement and the EPCC Contract. 

In addition to this, our partners have acted for a Malaysian client on their joint venture agreement with Sterling & Wilson, an Indian contractor, for a 50MW solar transaction in Malaysia.

Our partners other significant experience in the Energy, Infrastructure & Construction sector include acting for a Malaysian client on their investment in an Indian SPV for the supply of power on a captive basis through a Wheeling and Banking Agreement and acting for an Indian client in relation to the construction of an iron ore smelter and foundry.

Oil & Gas

Our partners have advised a Malaysian client, TH Heavy, in their joint venture with an Indian contractor in submitting a bid for the design and construction (EPCIC) of an offshore wellhead and platform, including pipelines in the Bombay High. Our involvement included preparing and finalising the joint venture agreement and advising on the conditions of contract.

Other Transactions

Our partners have advised a Malaysian investor on a Model Concession Agreement and initial financing aspects for the Vijayawada Expressway. We have also acted for Malaysia Airports Holdings Berhad in relation to the Hyderabad International Airport which included providing advice on the Concession Agreement, Shareholders Agreement and the other ancillary agreements.

Transaction Exposure

Our partners have attended meetings in Mumbai, New Delhi, Kolkata, Jabalpur, Nagpur, Bangalore, Chennai and other cities in India, interacted with Indian and foreign law firms and negotiated transactions successfully.
