Rodney’s experience includes banking and finance, corporate finance, capital market financing, project finance, securitisation, mergers and acquisitions and project advisory work. He has inter-alia led and been involved in the issuance of Islamic and conventional capital market instruments and also acted as underwriters’ and arrangers’ counsel in many significant and market leading Malaysian Initial Public Offerings such as the listing of Petronas Chemicals Group Berhad, Malaysia Marine Heavy Engineering Berhad and Malakoff Corporation Berhad.

Rodney’s mergers and acquisition work includes the acquisition of the concession rights and assets of a concession expressway under liquidation and his project advisory work includes infrastructure/utilities project agreements. This includes his appointment by a national water services contractor to advise on legal issues arising from the transition of its appointment as operations and maintenance contractor for the largest water treatment plant in Malaysia from a concession based appointment to a regulatory framework based appointment.

The abovementioned plant is of significant national strategic importance and possesses a daily treatment capacity of nine-hundred and fifty million (950,000,000) litres of treated water supplied to some three million (3,000,000) residents.

  • Advising AmInvestment Bank Berhad and CIMB Investment Bank Berhad in relation to the offering of Islamic commercial papers and Islamic medium term notes pursuant to an Islamic commercial paper programme and an Islamic medium term note programme respectively with a combined aggregate nominal value of up to RM2.0 billion by Telekom Malaysia Berhad.
  • Advising HSBC Amanah (Malaysia) Berhad and KAF Investment Bank Berhad (as the Joint Principal Advisers/Joint Lead Arrangers) in respect of the issuance by TNB Northern Energy Berhad of up to RM2.0 Billion in nominal value under the Syariah Principles of Ijarah and Wakalah.
  • Advising RHB Investment Bank Berhad (as Principal Adviser and Lead Arranger) in respect of the Issuance by WCT Berhad of up to RM1.0 Billion in Nominal Value of Medium Term Notes under a Medium Term Note Programme.
  • Advising Maybank Investment Bank Berhad, Affin Investment Bank Berhad (as Joint Lead Arrangers) and Danajamin Nasional Berhad in respect of :-
    1. the issuance by Ranhill Powertron II Sdn Bhd of up to RM710.0 Million Nominal Value Sukuk (under the Islamic principle of Musharakah) Issued Pursuant to an Islamic Medium Term Notes Programme comprising :-
      • Islamic medium term notes of RM360.0 million in nominal value; and
      • Islamic medium term notes of RM350.0 million in nominal value to be guaranteed by Danajamin (“Tranche 2 Sukuk”);
    2. Financial Guarantee Insurance Facility granted by Danajamin to the Issuer in respect of the Tranche 2 Sukuk and Advance Facility granted by Danajamin Nasional Berhad to the Issuer.
  • Advising as local Malaysian legal counsel for CIMB Investment Bank Berhad, Deutsche Bank, AG (Hong Kong Branch) and Morgan Stanley & Co International PLC in relation to the Initial Public Offering and Listing of Petronas Chemicals Group Berhad on Bursa Malaysia.
  • Advising Taliworks Group Berhad in the RM 265.0 Million Tender and Acquisition of the Concession Rights and Assets of the New North Klang Straits Bypass Expressway and Extension of the Concession Period.
  • Advising Petroliam Malaysia Berhad and Malaysia Marine Heavy Engineering Berhad in the acquisition of the Teluk Ramunia and Pasir Gudang shipyards from Sime Darby Engineering Sdn. Bhd.
  • Advising Sungai Harmoni Sdn Bhd in negotiating/advising with Air Selangor Berhad on :-
    1. the appointment of Sungai Harmoni as the O&M Contractor for Sungai Selangor Treatment Plant 1 under a Bulk Water Supply Agreement;
    2. termination of all agreements between the concession companies and Sungai Harmoni and settlement of all monies due to Sungai Harmoni all previous agreements; and
    3. on all relevant termination agreements/raw water supply agreements.
