Crystabel’s areas of practice are primarily in corporate and commercial law, mergers and acquisitions, as well as energy, infrastructure and construction.

Her corporate and commercial experience includes advising local and foreign clients in their joint venture arrangements, taking into account various factors such as foreign equity restrictions and other policy considerations. She has
advised on mergers and acquisitions for both sell-side and buy-side transactions involving a variety of industries, including renewable energy, manufacturing, technology, and oil and gas.

Her projects in energy and infrastructure include advising on the development of renewable energy and solar projects, as well as large-scale transportation projects. She has also worked on power purchase agreements, offtake agreements, chilled water supply agreements, electricity supply agreements, engineering, procurement and construction contracts, operation and maintenance agreements, as well as land lease agreements.

Corporate & Commercial and Mergers & Acquisitions

  • Advising on a USD 2.13 billion acquisition of oil and gas assets in Malaysia.
  • Advising a listed corporation on Bursa Securities Malaysia Berhad in its acquisition of equity interests in three feed-in approval holders, collectively owning and operating four solar projects in Selangor, Malaysia, at the Kuala Lumpur International Airport and its vicinity.
  • Advising a listed corporation on Bursa Securities Malaysia Berhad on its sale of all the shares in a wholly-owned subsidiary, including the carve out of certain properties, tenancy arrangement and other ancillary documents.
  • Advising on the proposed acquisition of up to a 35% stake in a construction company in the renewables sector headquartered in Malaysia, with subsidiaries in Malaysia, Singapore, the Philippines, China, Bangladesh, and Indonesia.
  • Advising on the proposed acquisition of solar power assets exceeding 200MW in Vietnam and Malaysia, including acting as coordinating counsel for the Vietnam acquisition.
  • Advising on the sale of assets related to the liquid petroleum gas (LPG) marketing and distribution business in the state of Sarawak, and the joint venture resulting from such sale.
  • Advising on a farm-out arrangement involving the sale of participating interests in an oil and gas asset offshore Sarawak.
  • Advising on a €4 billion acquisition of an entity involved in the business of manufacturing resins with various subsidiaries, including in Malaysia, as part of a global transaction.
  • Advising a Japanese conglomerate on joint ventures to develop and lease built-to-suit industrial facilities in industrial and logistics hubs in Selangor and Johor.

Energy, Infrastructure & Construction

  • Advising on the development of a 100MW large-scale solar photovoltaic plant under the third Large Scale Solar tender exercise, where the consortium was successfully awarded the project by the Energy Commission. This includes advising on the EPCC contract, O&M contract, power purchase agreement, land lease agreement, and project financing.
  • Advising on a large cross-border rail project between Malaysia and a neighboring country.
  • Advising on various bids for district cooling and electricity distribution concessions, including a premier integrated development in a major city in Southeast Asia and a district cooling concession at an international airport.
  • Advising various foreign multinational energy companies on their potential investment and participation in solar projects in Malaysia, including the regulatory and contractual framework in Malaysia and structuring options.
  • Advising various multinational companies on solar lease agreements to lease solar equipment, private power purchase agreements, including under the Net Energy Metering scheme.
  • Advising various foreign multinational energy companies on their potential investment and participation in solar projects in Malaysia, including the regulatory and contractual framework in Malaysia and structuring options.
