Our Deal Experience:

Our experience includes the following significant deals:

  • establishment of the first Shariah compliant unlisted real estate investment trust (REIT), and also the first Education REIT in Malaysia focusing on educational assets
  • advising a holding company of a financial institution and its group of companies on a scheme of arrangement involving its creditors
  • advising a manufacturing company on a scheme of arrangement involving its shareholders and creditors
  • acting for the scheme creditors in a debt restructuring for a listed engineering company and its group of companies
  • acting for the scheme creditors in a RM3.2 billion debt restructuring for a textile company
  • restructuring of a listed company’s debt of approximately RM1.1 billion and its proposed issuance of Redeemable Secured Loan Stocks, Redeemable Exchangeable Secured Loan Stocks and Redeemable Exchangeable Unsecured Loan Stocks towards settlement of the debts
  • advising a multinational information technology company with regard to the implementation of its employee share option schemes in Malaysia, including but not limited to the availability of the schemes to local Malaysian employees from its merger with another multinational information technology company
  • restructuring of a Malaysian company and its group of companies which culminated in the disposal of 100% shares in the parent company to a company listed on the Australian Stock Exchange Limited, in exchange for cash and shares
  • advising the banks on a mandatory general offer undertaken by the Employees Provident Fund Board (EPF) pursuant to the take-over rules
  • delisting of a property trust from the Official List of Bursa Malaysia and dissolution of such property trust
  • advising a leading FMCG company in relation to its proposed selective capital reduction and repayment exercise pursuant to the Take-overs Code and Section 64 of the Companies Act 1965
  • advising a financial institution in relation to an 8-year bancassurance relationship between the financial institution and American International Assurance Bhd
