She also assists clients on corporate and commercial matters in various industries including joint ventures, mergers and acquisitions, capital market transactions, capitalisation, distributorship, licensing, corporate governance, compliance and regulatory requirements.

  • Advising the finance parties (Unicredit Bank Austria AG, Erste Group Bank AG, ING-DiBA Austria, Niederlassung der ING-DiBa AG, Intesa Sanpaolo S.p.A. and Singapore Branch, Raiffeisen Bank International AG) in respect of a USD200 million revolving credit facility to be arranged by UniCredit Bank Austria AG for SapuraOMV Upstream Sdn Bhd, a joint venture company of Sapura Energy Berhad and OMV Aktiengesellschaft.
  • Advising Pengerang Terminals (Two) Sdn Bhd (“PT2SB”), owned by Petroliam Nasional Bhd (“PETRONAS”) and its three partners namely, Dialog Group Bhd, the State Secretary, Johor (Incorporated) and Koninklijke Vopak N.V. (“Royal Vopak”), on the project financing of US$1.25 billion granted to PT2SB for the Pengerang Terminal Phase 2 Project which involves the construction of the storage capacity of approximately 2.1 million cubic metres for crude, refined products, petrochemical products and liquefied petroleum gas (LPG) and a deepwater jetty with 12 berths. The terminal will serve the world scale Petronas Refinery and Petrochemicals Integrated Development project (“RAPID”) as its main customer.
  • Advising Pertama Ferroalloys Sdn. Bhd. (a special purpose vehicle sponsored by Asia Minerals Limited, Nippon Denko Company Limited, Carbon Capital Corporation Sdn Bhd, Shinsho Corporation and Chuo Denki Kogyo Co., Ltd) in relation to the cross-border project financing provided by a consortium of lenders for the Samalaju Manganese Smelter Project located in Sarawak, Malaysia.
  • Advising on the USD 190 million project financing to be granted to a high purity alumina manufacturer, a company set up by an Australia public listed company, on the project financing of the construction of high purity alumina plant located in Tanjung Langsat Complex, Johor.
  • Advising Petronas Chemicals Group from a Malaysian law perspective on the proposed acquisition of 100% shares in Da Vinci Group B.V. (the manufacturers of the silicone and silanes based product/polymers) from its shareholders including, amongst others, funds managed by Bencis Capital Partners for a purchase consideration of EUR 163 million in cash.
  • Advising Hayfin Capital Management LLP, on the refinancing for FR Inspection Bidco B.V., a company ultimately owned by First Reserve, a leading global private equity investment firm exclusively focused on energy, in respect of a term facility and revolving facility.
  • Advising a listed government linked company (GLC) in relation to its proposed issuance of Sukuk of up to RM2.5 billion in nominal value under the Shariah principle of Wakalah Bi Al-Istithmar.
  • Advising The Export-Import Bank of China (CEXIM) in relation to a court sanctioned recovery plan and conciliation protocol which involves the restructuring of the French Offshore services leader, the Bourbon Group.
  • Advising as Malaysian counsel in relation to the financing of Miclyn Express Offshore Limited through a USD315 million term loan and revolving credit facility and a SGD Bond issuance of SGD200 million senior secured guaranteed bonds in conjunction with its privatisation transaction.
  • Advising on the long-term incentive plan of Syarikat Takaful Malaysia and employee share option scheme of Glomac Berhad.
  • Advising on the establishment of a Sukuk Wakalah programme of up to RM3.5 billion in nominal value by Johor Corporation, a body corporate established under statute and holds the strategic role as the state economic development corporation of Johor.
